Aluminum

The firm represented a USA Corporation in the organization together with Corporación Venezolana de Guayana (a Government Agency) in all of the services that led to the organization of the first aluminum reduction plant. It also advise one of the bidding groups in the privatization of the Venezuelan aluminum sector.

 

CANTV

Rodríguez & Mendoza represented Fondo de Inversiones de Venezuela as selling shareholder, in the privatization of the national telephone Company, by means of a public sale of shares in both the domestic and internationals markets.

 

Cerro Negro

Rodríguez & Mendoza was retained by the banks and underwriters for the financing of the Cerro Negro Project, a joint venture between Mobil Corporation, Petroleos de Venezuela and Veba Oil, for the development of an extra heavy project in Venezuela.

 

Credit Card

Receivables Securitization Rodríguez & Mendoza counseled in the first and second international securitization of credit card receivables.

 

Duracell-Energizer

On behalf of The Gillette Company, Rodríguez & Mendoza filed an antitrust claim, won by Gillette, against Energizer for misleading advertising.

 

Mavesa

We counseled the syndicate of lenders in the loans granted to Polar in order to finance the buyout of Mavesa in 2001.

 

Hamaca Project

On behalf of Texaco, Rodríguez & Mendoza participated in the negotiations and drafting of the Hamaca Association Agreement, an extra heavy oil integrated project, and all its related areas. It also participated in the financing as counsel for Texaco, and in the acquisition of the Pipeline System and negotiation of ancillary documents.

 

International Briquetes Holding

Rodríguez & Mendoza counseled the company for its listing in the local stock exchanges, which became the first non Venezuelan company ever to be listed in Venezuela.

 

Mergers

Rodríguez & Mendoza participated in several mergers during the year, on the gas, telecommunications, food, retail activities and aluminum areas among others.

 

Orinoco Iron

On behalf of one of the sponsors, Rodríguez & Mendoza participated in structuring a project for the creation of an industrial complex for iron briquettes as well as in the related project financing.

 

PDV Finance

Rodríguez & Mendoza counseled the banks and underwriters in the PDV Finance securitization of receivables closed on May 1998.

 

Petrozuata

Rodríguez & Mendoza was choosen by Petrozuata, a joint venture between Conoco and Petróleos de Venezuela, in the financing of an extra heavy crude oil project in Venezuela which involved both bank debt and bond facilities. After the financing it has continued counseling the company in all the aspects of the development of its project, which includes the construction of a 200 kilometers dual pipeline.

 

Privatizations

Rodríguez & Mendoza represented Fondo de Inversiones de Venezuela in the privatization of several hotels. It also counseled several purchasers of assets privatized or to be privatized.

 

Seguros Mercantil

Rodríguez & Mendoza advised AETNA in the acquisition of an equity interest in Seguros Mercantil.

 

Sidor

The firm prepared an extensive due diligence report for the privatization of the government-owned steel mills and counseled the Venezuelan Investment Fund in the sale of the company.

 

Sincor Rodríguez & Mendoza was retained by the banks and underwriters for the financing of the Sincor Project, a joint venture between Petroleos de Venezuela, Statoil and Total Oil, for the development of an extra heavy project in Venezuela.
